1. Agreement to Terms

By accessing and using Graceform's website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Services Provided

Graceform provides the following services:

  • Website design & development
  • Organic SEO & content development
  • Identity & creative support
  • Graphic design and presentation assets
  • NGO documentation, registration, and compliance guidance
  • Content creation & documentation support

All services are provided as per the scope agreed upon in the service agreement or proposal. We do not offer PPC, paid advertising, or traffic-buying services.

3. Payment Terms

3.1 Pricing: All prices are listed in Indian Rupees (INR) and are subject to applicable taxes.

3.2 Payment Schedule:

  • 50% advance payment before project commencement
  • 50% payment upon project completion and delivery
  • For monthly services: Payment due at the beginning of each month

3.3 Payment Methods: We accept payments via Razorpay (Cards, UPI, Net Banking, Wallets).

3.4 Late Payments: Late payments may result in project delays or suspension of services.

4. Project Timeline

4.1 Delivery: Project timelines are estimated and communicated at the start of each project.

4.2 Delays: Timelines may be affected by:

  • Client delays in providing required content/feedback
  • Scope changes or additions
  • Technical issues beyond our control
  • Force majeure events

5. Client Responsibilities

Clients are responsible for:

  • Providing accurate information and content
  • Timely feedback and approvals
  • Providing necessary access to accounts/platforms
  • Ensuring all provided content is legally owned or licensed
  • Making timely payments as per agreement

6. Revisions and Changes

6.1 Included Revisions: Each project includes a specified number of revision rounds (typically 2-3).

6.2 Additional Revisions: Revisions beyond the agreed scope may incur additional charges.

6.3 Scope Changes: Any changes to project scope must be agreed upon in writing and may affect timeline and cost.

7. Intellectual Property Rights

7.1 Client Ownership: Upon full payment, clients receive full ownership of the final deliverables.

7.2 Work in Progress: All work remains Graceform's property until final payment is received.

7.3 Portfolio Use: Graceform reserves the right to use completed work for portfolio and marketing purposes.

7.4 Third-Party Assets: Stock photos, fonts, or plugins requiring licenses remain the client's responsibility.

8. Confidentiality

Graceform maintains strict confidentiality of client information and will not disclose any sensitive business information to third parties without explicit consent.

9. Warranties and Limitations

9.1 Service Quality: We strive to deliver high-quality services to industry standards.

9.2 No Guarantees: We do not guarantee specific business results, rankings, or financial outcomes.

9.3 Technical Issues: We are not liable for issues arising from third-party platforms, hosting providers, or client systems.

9.4 Liability Limit: Our total liability shall not exceed the total amount paid for the specific service.

10. Termination

10.1 By Client: Clients may terminate services with written notice. Payments for completed work remain due.

10.2 By Graceform: We reserve the right to terminate services for non-payment, breach of terms, or unreasonable client behavior.

10.3 Post-Termination: All outstanding payments become immediately due upon termination.

11. Website Maintenance (if applicable)

11.1 Support Period: Standard support includes bug fixes for 30 days post-delivery.

11.2 Ongoing Maintenance: Extended support and maintenance require separate agreements.

11.3 Backups: Clients are responsible for maintaining their own backups.

12. Dispute Resolution

12.1 Negotiation: Parties agree to attempt resolution through good-faith negotiation first.

12.2 Jurisdiction: Any disputes shall be governed by the laws of India.

12.3 Arbitration: If negotiation fails, disputes will be resolved through arbitration in accordance with Indian laws.

13. Changes to Terms

Graceform reserves the right to modify these terms at any time. Changes will be effective immediately upon posting. Continued use of services constitutes acceptance of modified terms.
